These Terms and Conditions ("Terms") govern your use of the Havven home management platform and SMS messaging service operated by Havven LLC ("Havven," "we," "our," or "us"). By using the Havven Service, you agree to these Terms in full. If you do not agree, please do not use the Service.

1. The Havven Service

Havven is an AI-powered home management platform that helps homeowners track maintenance, organize home documents, schedule contractors, and get answers to home-related questions. The Service is delivered primarily via SMS and a web dashboard.

SMS messaging only begins after you personally opt in as described in Section 3 below.

2. Eligibility

You must be at least 18 years old and a resident of the United States to use the Havven Service. By using the Service, you represent and warrant that you meet these requirements.

3. SMS Messaging Program

Opt-In: You will only receive SMS messages from Havven after you personally provide your mobile phone number and affirmatively opt in — by checking the SMS consent checkbox during onboarding or in your account settings. By opting in, you agree to receive automated text messages from Havven at the phone number provided, including transactional messages, AI assistant responses, maintenance reminders, and scheduling notifications.

Opt-Out: You may opt out of Havven SMS messages at any time by replying STOP to any message from Havven. After opting out, you will receive a single confirmation message and no further messages will be sent unless you opt back in.

Help: Reply HELP to any Havven message to receive information about the program and how to contact support.

Supported Carriers: Havven's SMS service is available on most major U.S. carriers, including AT&T, Verizon, T-Mobile, and others. Carrier availability is not guaranteed and may vary.

Message & Data Rates: Standard message and data rates may apply based on your mobile carrier plan. Havven is not responsible for charges from your carrier.

Message Frequency: Message frequency varies. You may receive multiple messages per week depending on your home activity, scheduled reminders, and your interactions with the Havven assistant.

4. Account Registration and Security

To access certain features of the Service, you may be required to create an account. You agree to provide accurate and complete information and to keep your account credentials secure. You are responsible for all activity that occurs under your account. Notify us immediately at support@havven.io if you suspect unauthorized use.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service to transmit spam, unsolicited messages, or harmful content.
• Attempt to reverse-engineer, hack, or disrupt the Service or its infrastructure.
• Use the Service to violate any applicable local, state, federal, or international law.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Upload or transmit any content that is unlawful, defamatory, abusive, or infringing on any third-party rights.

6. AI-Generated Content

Havven uses artificial intelligence to generate responses to your home-related questions and to provide recommendations. AI-generated content is provided for informational purposes only and does not constitute professional advice (including legal, financial, structural, or contracting advice). Always consult a qualified professional for significant home-related decisions.

Havven makes no warranty that AI-generated responses are accurate, complete, or error-free.

7. Contractor and Third-Party Services

Havven may facilitate connections between you and third-party contractors or service providers. Havven is not a party to any agreements between you and such third parties and is not responsible for the quality, safety, or performance of any services they provide. You engage third-party contractors at your own risk.

8. Intellectual Property

All content, features, and functionality of the Havven Service — including but not limited to software, text, graphics, logos, and AI models — are the exclusive property of Havven LLC or its licensors and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection and use of your data as described therein.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. HAVVEN DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HAVVEN LLC AND ITS OFFICERS, EMPLOYEES, AGENTS, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO HAVVEN IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Havven LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by updating the "Last updated" date above and, where appropriate, via SMS or email. Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Plymouth County, Massachusetts.
